涉嫌违规 安省证监会勒令唐炜臻公司立即停盘 |

安省证监会（Ontario Securities Commission）于3月17日（本周一）颁布命令，勒令海外中国基金有限合作公司（简称海外公司），海外公司的合作公司唐炜臻合伙公司（简称合伙公司），唐炜臻集团公司及居于安省的唐炜臻本人暂时停止所有证券交易活动。
The Ontario Securities Commission issued a temporary order on Mar.17, 2009 that all trading in securities of Oversea Chinese Fund Limited Partnership (“Oversea”), Weizhen Tang and Associates Inc. (“Associates”) - a General Partner of Oversea, and Weizhen Tang Corp. （“Corp”） - a corporation in Ontario and Weizhen Tang, an individual who resides in Ontario, shall cease.
证监会根据安省证券法进一步颁布命令，唐炜臻，海外公司，合伙公司和集团公司不享有安省证券法规定的豁免条列。
The Commission further ordered that pursuant to Ontario Securities Act that the exemptions contained in Ontario securities law do not apply to Weizhen Tang, Oversea, Associates and Weizhen Tang Corp.
证监会颁布的该命令说，唐炜臻，海外公司，合伙公司及集团公司在加拿大，美国及中国大陆筹款，且这些公司可能违反了证券法，在未经注册的情况下提供了投资建议并充当投资组合经理角色，并在没有提交投资说明书（prospectus）或签发收据的情况下交易证券。
The temporary order noted that Tang, Oversea, Associates and Corp. which have raised funds in Canada, the United States and mainland China, may have provided investment advice, acted as a portfolio manager without being registered, and traded in securities without a prospectus having been filed or a receipt issued, which contravene the Securities Act.
安省证监会的以上指控尚未被证实。
All allegations above by the OSC have not been proven.
该命令说，证监会认为，由于完成听证过程作出结论所需时间过长而可能会有损于公众利益，颁布暂时命令是处于公众利益的考虑。
Commission holds the opinion that it is in the public interest to issue the order and that the time required to conclude a hearing could be prejudicial to the public interest, the order noted.
该命令自颁布起立即生效，有效日至四月1日。证监会将根据那天听证会中所列举的事实，决定是否会将该令有效期延长至听证结束。
The order is effective immediately until April 1, when a hearing will be held by the Commission to consider whether it is in the public interest to extend the order by reason of facts citied in the order until the hearing is concluded.
3月18日证监会的通知还指出，听证会还将考虑是否会进一步颁布证券会认为恰当的命令。
The notice issued by Commission on Mar. 18 further noted that the hearing will also consider whether to make further orders as the Commission deems appropriate.
通知指出，听证会的任何一方可由律师代理出席。
The notice also informed that any party to the hearing may be represented by counsel at the hearing.
大中报于本周四联系了唐的公司，要求对该通知和命令进行电话采访。
Chinese News contacted Tang’s office on Thursday requesting for a phone interview on the notice and the order.
另外，大中报又于当日发传真至唐办公室，询问唐是否受到证监会的临时命令及听证会通知，唐是否会遵循命令而停止操盘。
Further to the interview request, Chinese News sent a fax to Tang’s office on the same day, questioning him on whether he had received the Temporary Order and the Notice of Hearing from the OSC, whether he would obey the orders and cease trading activities.
但大中报至截稿时止，未曾收到唐的答复。
Chinese News has received no response from Tang as of the time of publication.
证监会的听证将于四月一日下午两点在20 Queen Street West, 17 层的 听证厅举行。
The hearing will be held at 20 Queen Street West, 17th Floor Hearing Room on Wednesday, the 1st day of April, 2009 at 2:00 p.m.加拿大华人网 http://www.sinoca.com/
